TERMS OF USE, PRIVACY POLICY & PAYMENT TERMS

Document Reference: DOC-10-LEGAL-2026

Effective Date: September 2026

Issued by: ProActa High Performance Management Limited

1. CORPORATE STANDING & TERMS OF USE

1.1. ProActa Diamond Sports Virtual Campus ("the Campus") is operated by ProActa High Performance Management Limited, a limited company incorporated under the Companies and Allied Matters Act (CAMA) 2020 ("the Company").

1.2. Access to and use of the Campus — including course enrollment, the video classroom, assignment submission, and the credential verification system — is granted under the governed entitlement framework operated by the Company. Creating an account or enrolling in a course constitutes acceptance of these terms.

1.3. The Company reserves the right to suspend, restrict or revoke access where use is found to be inconsistent with academic integrity requirements (see DOC-09), applicable law, or the integrity of the platform.

2. PAYMENTS, PRICING & REFUNDS

2.1. Course tuition is displayed and charged in the currency shown at checkout. Payments are processed by Flutterwave, a licensed third-party payment processor; the Campus does not itself store full card or bank account numbers.

2.2. Enrollment is granted upon confirmed, successful payment. Where a payment is not confirmed successful, no enrollment is created and no charge should apply — contact the Global Compliance Desk (below) if a charge appears without a corresponding enrollment.

2.3. Refund requests are considered on a case-by-case basis where a course has not yet been meaningfully accessed (no completed lessons or graded submissions). Once a course's certificate or transcript has been issued, tuition for that course is non-refundable.

3. DATA GOVERNANCE & PRIVACY

3.1. The Campus collects and processes: account and profile information (name, email, academic tier); course activity (enrollment, lesson progress, quiz answers, assignment submissions and their automated grading); payment metadata (amount, currency, transaction reference — not full card/account numbers, which Flutterwave holds); and, where a learner chooses to upload one, submission files (video, image, or document evidence for graded assignments).

3.2. Data is used to operate the Campus: tracking course progress, computing grades and GPA, issuing certificates and transcripts, and processing payments. It is not sold to third parties.

3.3. Data subjects retain the right of access, rectification, and deletion of their account data, subject to the Company's legitimate need to retain academic and financial records (including issued certificates, transcripts, and payment history) for verification and compliance purposes.

3.4. Assignment submission files are readable only by the submitting learner and by staff (coaches, executives, and administrators) for grading purposes — never publicly listed.

4. ACADEMIC CREDENTIALS & VERIFICATION

4.1. Certificates and transcripts issued on course completion are permanent academic records. A certificate's public verification page (/verify/[CERTIFICATE_CODE]) discloses only the credential's validity, the course, and the learner's name — not grades, submissions, or other account data.

4.2. See DOC-09 (Student Handbook) for the full academic integrity code governing how credentials are earned and may be revoked.

5. INTELLECTUAL PROPERTY

5.1. ProActa™, PraXis™, and ProActa Diamond Sports Virtual Campus™ are proprietary marks of the Company. All curricula, assessment instruments, telemetry schemas, and interface designs are protected works of the Company.

5.2. Learners retain ownership of the original submission files they upload; by submitting, they grant the Company a licence to store, process, and grade that submission as part of the course.

6. CONTACT

Questions about these terms, a payment, or a data request should be directed to the Global Compliance Desk: proacta@yahoo.com.
